For the exe files, I assume you're talking about the new installer for
SCPowerTool, etc.  I chose to make the default install location
%windir%\system32 simply because it's included in the system %PATH% and
because the file paths don't include spaces.  That makes the command
lines in SrvrPowerCtrl's settings much simpler.  If you install to, e.g.
C:\Program Files\SCPowerTool or somesuch, you'd need to to provide the
whole path to the exes and you'd need to " quote the paths in the
settings.  All in all, it's just simpler to plop them into System32.  I
do understand why that might make some folks nervous, though.

Re help file saying it doesn't apply to Vista: I don't have vista here
to test with.  Can you copy and paste the warning message that you're
seeing into a new post?  That will help me figure out what's going on
here.  Thanks.
