It will (not really, lyx2lyx will do that), but at the same time the
document contents will be converted from the old encoding to utf8.

Of course not, but the encoding change is totally transparent for the user.
If the old document contained a "1/2" the new one will too. The only thing
that is different is the actual code point that is written to the file.
That is now the codepoint of "1/2" in utf8, not latin1.

PS: You should know that, or did you see that all your oe ligatures suddenly
changed when you opened old documents in LyX 1.5svn? :-)
