Two thoughts:

- Shmuel is certainly right that you need to worry that if there is a
bankruptcy -- not a sure thing; he might just drift away without formal
bankruptcy -- you have an uphill battle NOT having the source code treated
as an asset. The whole point of bankruptcy is tearing up all of those old
agreements that got the creditor into trouble and starting fresh with the
assets he has -- including the source code. If I were owed money by the
bankrupt company I would argue "heck no, ignore that burdensome old
agreement, sell the source to the highest bidder so the debtor can pay me
what he owes me."

- Are you really, really, really sure that you are equipped and willing to
"support it yourself" old idiosyncratic assembler source code, in a timely
fashion?

With the right source code escrow language written into the contract,
"one-person operation" should not be a show-stopper unless the one person is
not appropriately responsive to product defect repair or requests for
reasonable product enhancements.

If very prompt defect repair is an important issue, write effective SLA's
with increasing financial penalties for delayed defect repair into the
contract as well.

We have had quite good luck with a few very helpful software products and
very responsive authors.  Worst case, your company has the rights to the
source code and can continue to support it yourself until transitioning to
another product with active support.
