This issue is separate from protecting SPI's 501(c)(3) status, actually, or at least it's different than the issue of donors making specific-individual earmarks. It was primarily a general ethical/avoid-appearance-of-impropriety concern due to being on both sides of the herb process, but even to the extent it was related to my SPI service, it's a state law compliance issue, not a 501(c)(3) issue. However, I have several times read through the New York Not-for-Profit Corporation Law's rules on how to deal with decisions by the board in which a director is personally interested. I've also read various other statues and articles on this topic. Although I'm not entirely sure whether those rules apply directly to something as attenuated from SPI governance as the DebConf herb team, I feel that the herb team process was at least close enough in practice, maybe also in theory, to required procedure to protect SPI and myself.
