One thing you can do is put in right of first refusal so the existing partners 
can buy the share instead of the bad person.

Thanks so much for all this feedback! Neil, I'll be getting in touch offline.

If/when we find a new member we will definitely be doing a new agreement - does 
anyone have suggestions for boilerplate partnership agreements (or want to 
share their agreement text)? I think buyout is probably the area where the most 
contention could arise (say, expectations for speed of buyout, selling to 
somebody the partners don't like, etc.). What language do your folks' contracts 
have to protect the participants in those situations?
