Hi All,

Our startup is about 70% there from the different angles. Software,
paperwork etc thought right now i am at a dilema.

The startup compromises of 4 people with this structure

Myself: Founder - Time spent (about 1 year 2 months) - 40% Shares
MC: Co-Founder (about 8 - 10 months) - 30% Shares
DH: Time wise same as me but only on hardware side of things - 10%
shares
VB: about 2 months ago - 20% shares

The issue is this, i sent out an email with the following structure
outlining the reasons why and i have recieved an OK back from MC & DH.
The issue is that i havnt received anything back from VB and i have a
feeling it maybe because he is not happy with his share of the
company.

Lets look at the roles. Basically the idea for the startup was mine
and i have done 100% of all the backend coding, design and
architecture, performance tuning etc. All the frontend CSS/GUI Design/
User Interaction/Javascript/ Image creation/Logo (of which there is
alot) was 100% done by MC.

DH has been there since begining & together we setup the hardware for
the test environments, we shared in the cost of purchasing equipment
which totals up to be about 1100 - AUD. This was busy in the first 3
months but after that the hardware side of things is obviously quite,
he provides hardware as needed and fixes things when they break, also
he sources and does the setup of any new requirements prior to giving
the hardware to the team so it makes life easy, no more fiddle didle
with hardware components or calling people to get cheap mac's or cheap
quad cpu servers etc.

VB will be doing the mobile component of the application so it is
usable from mobile devices. He started about 2 months ago which means
that his code has not been integrated into the core product because
its still not ready (there isnt much code anyway as there is still
some POC that is being done on the mobile side). The mobile component
will most likely be in V2 we believe .

The dilema is:

Does the 20% share seem to be fair, is it to much or to small and
amount ? So far VB has been working on the startup for 2 months so his
component is built ontop of everything that is already built. All the
thinking, POC for the core application at the begining was done only
by Myself and MC. His component will be good to have but in terms of
time and effort spent on the application he hasnt contributed as much
as myself and MC.

I know VB very well as we went to university together and we did
almost every project together. We always did well but thats because at
university everyone in the group can get a 'D' or a 'HD' (so everyone
puts in a sellar effort) were in real life there is only 100% of
anything and it needs to be shared by effort and input so its not the
same. I know his skills and his ability to deliver but interms of
effort put, as it stands now, his input is far from equal from the
other team members.

Anyone have any way to assist or any suggestions as to how to resolve
this, what should be the share provided to someone who starts much
later. We want to resolve this before incorporation and before we do
any integration with the mobile component cause if it turns sour, it
would be easier if there was no integration done.
