I don't remember it asking me to upgrade xp at all!
I did upgrade the vm when it asked, though.

I'm running an xp virtual machine and am doing the trial version of fusion 6.0.
I had to try installing vm tools twice, but it took on the second try. I am
not having issues with crashing.
How much ram do you have on your mac? also, wonder if you need to make the ram
for the vm more then it p
