This sounds similar to a problem I have. It went away when I removed udev
(udev is nice, but I don't need it badly enough right now to solve the
problem for real).
Is there some activity, like some disk noise, or the backlight comes on,
but nothing appears on
dev? I tried using udev recently on my ibook 2.2, and that
made it crash on resume. Removing udev solved the problem. I don't know if
this is related to your problem, but it's worth a try.

Which battery notifications are you using. I know the Gnome applet needs
the module apm_emu loaded, so you might want to check that.

In my ~/.vimrc, so (g)vim doesn't cause spinups when writing its
swapfiles.
This combination works very well for me. There have been no spinups
while writing this email.
