What does fdisk report it as?  try fdisk
then use
p
to print the partition table to the screen.  Might help determine what is
happening.

I mount my win98 partition as vfat using the following entry in fstab
/dev/hda1       /win    vfat     user,exec,dev,suid,rw 1 1

Not sure what happens during a convertion to fat32.
