Well, this is proprietary back-end stuff, so in a way, it won't be marketed but it'll have to remain the propriety of the company and be closed-source. As far as I've understood the PHP license, all i'm required to do is not to make use of the name "PHP". But I'm not a lawyer and I wanted to check with more experienced people.
Thanks a lot for your answer, though.

what specifically are you attempting to do ? do you wish to market the
extension ? donate it to the PHP community ? if the former, then im fairly
certain the license allows it. as for the latter, its best to license your
code under a non-GPL, OSI approved license (BSD, LGPL, PHP, etc).
makes sure you read the actual license FAQ here http://www.php.net/license/
