Hopefully I can help as I just went through this whole thing.  A
couple of key things really helped me in my decision.  First of all,
why are you considering MF?  Most people answer the neg size.  On this
front, obviously the 67 has the advantage.

Second question: Are you planning to use 35mm along with  MF or just
MF?  Here the 645 has the big advantage.  It is quite possible to drop
35mm altogether and just use the 645.  There are a few cases where
35mm is better, but not many.  The 645n(II) is much like using a ZX-5n
with a big negative.  It does also have data imprinting, but feature
set is similar.

Third Question: Do you like using automation or mostly manual.  The 67
is much more like using an MX while the 645 is more like using the
ZX-5n.

You really owe it to yourself to handle both systems.  Also, you need
to decide whether to consider the 67II or older 67.  The 67II adds
new/improved film transport, spot/center-weighted/matrix metering,
multi-exposure and aperture priority modes.

I can say that I was truly torn between the two.  I must have gone in
a dozen times handling the two systems.  In the end, my intention to
keep my 35mm system (clear delineation between the two - when to use
the 35 vs the 67 - the easier handling of the 645 would make me want
to use it even when 35mm would suffice) and the handling/feel and
style of the 67II won me over.  I am very happy with my choice.

I don't believe you can go wrong with either choice.
