No. Just parts of it.

database, attachments, Config.pm, Defaults.pm, GenericAgent.pm,
Modules.pm, ModulesCustom.pm, ModulesCustomerPanel.pm

No. Quote from the file UPGRADING (comes with the 1.3.2 dist):
"a) the otrs themes between 1.2 and 1.3 are _not_ compatible
(don't us the old theme)!"
I recommend that you read the rest of the UPGRADING file. It will
tell you everything you need to do in order to sucessfully upgrade to
1.3.2. Yes, redoing themes is a pain (I know) but it is well worth
the effort. I am very pleased with 1.3.x
