OK, first admission - this wasn't "analysis" of any kind. It was simply a gut reaction to the sysctl bootscript failing. I needed the box up pretty quick, so just moved the sysctl script to workaround the problem.
The existence of a /dev entry and udev has absolutely no relation to /proc contents.
