Also correct. Do not try to do both things in one step. The SGA should be left as is, and done with the code transfer normally. Separately, we will need a commitment by the existing trademark holder (i.e. someone from the legal owner) to execute a standard trademark and goodwill transfer agreement for any marks intended to be donated, to be signed before the podling *graduates*.
