Last I heard, you shouldn't upgrade the kernel at all,

install the kernel with -i

upgrade the headers with -U

Thats what I do, and it always seems to install without problems for me.

  Hmm... well, if you enter the directory that has both files and type "rpm
-Uvh kernel*2.4.13*.rpm" it should install both without any trouble (at the
same time).
