We have three B-40's in our small town. One is raced, its PHRF is 174 including 6 seconds for the roller furler. It is well prepared (Burnished Baltoplate and bi-weekly diving) and has an experienced crew (they took a foot off the centerboard and added area to the rudder for a net change of zero on the PHRF). My 30-1 has the same PHRF without the furler. The ex-Admiral races the boat and beat the 40 a couple of years ago and is one place behind this year (15 races so far). They don't put up the mizzen if it is over 12 except on reaches and downwind. On reaches, they fly the mizzen staysail (asymmetrical spinnaker) which gives them at least half a knot. They reef at about 15-16. A 34 should clobber them unless it is blowing a bunch where 25000 pounds and a long waterline (when heeled) becomes important.

Maybe the Bermuda 40 yawl was "reefed already? Their SA/D was 15.35 compared to the 34's 17.7? Likely a more comfortable ride too with a Motion Comfort number over 40 - the 34's only 22.55. . . Save the grief for a light air day.

Thanks to you and all other responders on this subject. An offer was made yesterday and I am waiting for a reply and or counteroffer. From what I can learn about this particular boat, it likely originated in Lake Champlain based upon sails from a local loft. The boat was brought from Ft. Walton Beach Fla area to New Orleans in 2006 following Hurricane Katrina. If you cannot take a broach, you have not pushed the boat. I know people who are young enough and think it is a normal and natural part of sailing. They were particularly amazed in one race, following a Bermuda 40 Yawl, why the Bermuda 40 never broached.
