2.0-targeted applications do not activate with .NET 4.0 by default -- that was a deliberate compatibility policy decision made by.NET 4.0, for better or worse. You'll need to add useLegacyV2RuntimeActivationPolicy=true attribute to the <startup> element in your CustomAction.config.
