You have essentially two options:

1) Write a new server from scratch, following the RFB protcol
specifications found in the Documentation section of the VNC website.  You
can then do with that server whatever you like.

2) Write a new server using some code (eg. encoders) taken from existing
VNC servers.  Since these servers are GPL'd, you then have to release your
server under the GPL.  That doesn't preclude you from selling it - it just
means you have to make the source code available to everyone you
sell/distribute it to, on request.  You probably want to read the GPL to
find out the fine detail - it can be found on http://www.fsf.org/.
