I'd install Tomcat to a new directory so it is easy to go back if things don't work.

No, as long as you use the same port for the ajp connector on each Tomcat instance (but of course you won't be able to have them running at the same time).
The biggest job will be transferring the configuration. Any reason not to upgrade to 6.0.x?
