I executed :

$ cd </path/to/ubuntutouch/downloads>
$ fastboot flash -w recovery saucy-preinstalled-recovery-armel+grouper.img
$ fastboot flash system saucy-preinstalled-system-armel+grouper.img
$ fastboot flash boot saucy-preinstalled-boot-armhf+grouper.img

(the '-w' is essential : it reformat userdata and cache)

then rebooted in recovery : everything was ok

then performed a standard update through :
$ phablet-flash cdimage-touch -d grouper

and update was ok.
