I have a similar problem. I upgraded to Gutsy yesterday via the Update Manager. Initially all went well until messages started to appear that 'login', passwd', etc was not found. There was no way to stop the installation and it continued until it built the new kernel image (I think) and then the Update Manager window disappeared. When booting into the new kernel I'm dropped into initramfs.
The older kernel still works, but the systems obviously not in the 'right' state as some applications don't work. I've tried the obvious things (ie. update, upgrade, update-initramfs), but as far as Ubuntu is concerned everything is up to date and working. I prefer not to reinstall and would appreciate any help.
