My machine is an old Compaq Deskpro with a Pentium II 333MHz (ouch!).

I have this same problem running Ubuntu 6.06.1, and also with Debian
Etch.  I loaded up a Knoppix 5.01 CD, and it has the same problem.  Now
it gets strange.  I had FreeBSD 6.1 loaded on the machine, and it had
the same problem, it wouldn't power off after a shutdown (none of these
will do a shutdown/restart either).  I also have Solaris 11 b46 on this
machine (I'm a masochist) and it powers down and restarts just fine.

I've tried all the apm/acpi settings mentioned above, and none had any
effect.

I'm going to try downgrading to Ubuntu 6.06 (or even 5.10) and verify
that it worked then.

I tried loading Edgy knot-3, but it hangs at 59% through the
installation (3 times consistently).

Debian Etch and FreeBSD 6.1 work fine on my Dell Optiplex and a white
box P4 machine.
