Found the reason:

When suspending my system, the hardware-watchdog is dying and after
resume I can see watchdog <defunct> in the process list. By simply
trying to restart watchdog, the system resets. So at the moment I purged
the watchdog package, but this must be a bug in the watchdog kernel
code.

Because 2.6.27 is rc9 at the moment: Do you ask upstream for a fix or
should I contact lkml for this issue?
