I always thought the main reason to incorporate in eg Delaware was to do
business in the US, get funded in the US or get acquired in the US?
Hopefully not so you can get sued in a US jurisdiction though ;-)

I'd imagine the tax benefits would be marginal in the startup stage anyway,
given the additional accounting hoops to jump through?
