My solution was to update from
deb http://ppa.launchpad.net/ubuntu-x-swat/x-updates/ubuntu precise main
Now everything works as expected. But I'm still interested in the
problem reason.

I am having a similar problem on my laptop since I upgraded to 12.10. It
won't shutdown (it does restart though), but I am not using nvidia
drivers, only open source Intel and AMD drivers.

Computer shutdown normally if I don't login.
Even If I try to rmmod nvidia before shutdown it doesn't help.
Will continue investigating problem.
