Same problem for me on Ubuntu 7.10 / Gnome.

In the meanwhile this three actions worked for me:
1) disabled acpid daemon in user space (but /usr/lib/hal/hald-addon-acpi is on)
2) increased repeat keystrokes delay
3) disabled many unuseful sw which overloaded the host
and the problem is disappeared.

heavy load they begin to repeat/lost keys and egnnn mad :(

Gutsy hangs on shutdow
Sorry, I forgot: none of the above cases has occurred for me.
No floppy, no cd, no live cd. Th system worked until 2-3 weeks ago. Now it
hangs.
If I press some keys it restarts the shutdown procedure then goes back to the
same point where it hangs.
I must shutdown it with the alt-sysreq-s and alt
I agree with Sergio Zanchetta: there are many people having this problem. It's
a difficult to say "Use Ubuntu" if it's hard even to use a floppy!!!
I've introduced many Ubuntu PC in a school (about 80) and this was perhaps the
most annoying problem.

uninstalled old headers, verified link in /usr/src and it worked (Ubuntu 7.10).
