Try to disable ipv6 (if you don't use it) at kernel boot: ipv6.disable=1.
Dirty, but it works (no messages after).

Same problem here (after upgrade from ESX 3.5i -> ESXi 4.1i) and 32 bits
Virtual Machine.
Ubuntu 10.04.1 LTS & Kernel 2.6.32-25-generic-pae won't boot (udev segault):

Upgrade to 2.6.32-26-generic: same problem.
