Thanks it worked. I have to install "openssl-engine-0.9.6l.tar" since it was there on my Linux install.

I am trying to install php-4.3.4. configuration
options as follows :
[xxx php-4.3.4]# ./configure --with-mysql
--with-openssl=/usr
--with-apxs2=/usr/local/apache2/bin/apxs
Configuration is done whithout any error but when I
make it gives following errors :
