OK, I cruised a couple sites after doing a google mode c, class b,
transponder search. I found this very direct and too the point website.

Please read section 2.a. As stated earlier, flying above 10,000 msl, Mode C
required, You can ask for an exemption from ATC, but they do not have to
give it to you.
