Typed this out too fast... try:

rpm --Uvh --force /mnt/cdrom/RedHat/i386/RPMS/fileutils-4.0-21.i386.rpm
rpm --Uvh --force /mnt/cdrom/RedHat/i386/RPMS/procps-2.0.6-5.i386.rpm
