The only difference between those two is the branding.  The good folks
behind CentOS basically took the provided Red Hat sources and rebuilt
everything, with the only change being that they removed all of the Red
Hat branding, e.g. the shadowman logos, mentions of Red Hat and the
like, and so on, which are trademarks of Red Hat.  That is the only
real difference, that and the fact that you obviously don't get a
support contract of any kind.
