Well I am not using the same hardware but the hardware of my server is a dual PII Xeon 450 2mb cache per CPU with 1GB RAM, custom build. And it has run MySQL and PHP 4.2.x flawlessly (until I create something that makes it crash).
Best thing to do is always make sure that you have the latest windows updates, you can get them the same was as with WinXP and Win9x just head to http://windowsupdate.microsoft.com other then that make sure you know what is being put on the server. Barring all that you really shouldn't have any problems with Win2k IIS5 & PHP with either security or stability.
