I'm pretty new to PHP so I can't help you with the code per se, but how about as an outline;
Open the first file and read values into an array. Open the 2nd file and read in the first line. Compare each value in the array to see if it occurs in the line from the 2nd file you just read in. If it occurs then write that value to the 3rd file Repeat until the array ends File functions are here -> http://www.php.net/manual/en/ref.filesystem.php - the only one I can't see is the ability to delete a line in a file - at least without creating another holding file....very messy that way tho...I'll keep looking.
