Day and night. Both are webservers. IIS is made by Microsoft and only runs on Windows. Apache is made by the Apache organization and will run on Windows, but is most commonly used on Unix based OS's such as Solaris, BSD, Linux, AIX, HP-UX, IRIX....etc. There's also security/stability issues to take into account. Both webservers have exploits, but IIS tends to have more and more serious ones. IIS is also not as scalable as Apache. On the other hand IIS is easier to configure and setup for beginners.
