Yes It would overwrite the existing version (upgrade I think is the word)
but I have had problems and I know a few others people have had problems wit
the karmic upgrade option you'd be better to do a clean install to be
honest, and I think most people woudl agree that clean installs always win
over uupgrades because its a good opportunity to sort out the data you need
to keep and wipe the rest off and start a fresh with a nice clean install to
minimise problems and optimise system performance.

If you do go with the upgrade option though (or not) please make sure you do
a full system backup I reccommend partimage which can be run from the
systemrescuecd
