The problem is that you've run nmake from the VC++ bin directory.  Change to
the c:\openssl-0.9.6g\directory and execute "nmake -f ms\ntdll.mak" from
there.

I'm trying to install the openssl0.9.6g in a W2K machine.

Following the INSTALL.W32 file, I stoped in:
nmake -f ms\ntdll.mak
