ssl-auth is a very specific software to provide SSL for shell scripts.
stunnel is intended to provide SSL for several servers and protocols.

Compared to netpipes stunnel:

 - can work as a separate daemon,
 - supports session cache and full-duplex (is much faster!),
 - supports many platforms including Win32,
 - has an interface for protocol negotiation
   (currently supports STARTTLS negotiation),
 - supports transparent proxy on Linux,

 - doesn't support certificate chain criteria,
 - doesn't allow user to specify cipher-list (this will be added soon),
 - is not intened to be used in shell cripts.

    Mike
