Hi Dave,
The major advantage of vmware fusion 2 is faster performance, both for  
the mac and windows. Fusion 2 uses much less ram and system resources,  
so you don't notice any sluggishness on the mac side while running  
windows. Also, if you play windows games like I do, then you'll notice  
more responsiveness from XP as well. There's also some other goodies  
in there, such as the ability to send certain key commands to the  
virtual machine from the menu, but performance is by and large the  
best reason to update.
