It means that the syntaxfile could not be read, but this is not documented. 
I guess that was an attempt of mine (years ago) to make the tex2lyx return 
code more meaningful, but I don't remember.

The converter machinery should treat a return code != 0 as an error (and I 
believe it does that). If this is not the case then this would definitely be 
a bug.
