There are two possibilities: 1. There is a problem with the CD - Try copying the contents to your hard disk drive and try the install from that location.
2. The installer service does not have adequate permission to access your System32 folder - This can happen if you have NTFS on your drive and the "System" account does not have Full Access to this folder.
