I ran into the same problem using this ant task:
<taskdef name="xjc" classname="com.sun.tools.xjc.XJCTask">
<classpath>
<fileset dir="${JAXB_HOME}" includes="**/*.jar" />
<fileset dir="lib" includes="**/*.jar" />
</classpath>
</taskdef>
By removing my project-lib, the problem went away:

Appearantly there is some jar in my lib causing the problem...
