A gpgsm --import foo.p12 should be all you need. Make sure that the gpg-agent is running. There used to be a long standing bug in the p12 import code which has been fixed recently. You may want to try the snapshot gnupg-1.9.20-cvs3947.tar.bz2 in the alpha/gnupg directory.
