It seems that 'cp' usually puts a time stamp of the current date and time.
Would this work?
cp -r -p -@ /some/source/directory/* /some/target/directory/

try using tar , cd /some/source/directory/
tar cfP - *|(cd /some/target/directory/ ; tar xfP - )
