Google will tell it better than I can. It is a open standard by the Linux community. Standarizes what will be included in a distro and where it will go. This would make working on multiple Linux systems easier, imo. The /opt directory is an example of what the LSB requires and what has traditionally not been present in Debian. That said I read that Xandros would help Debian get certified. Suse Redhat are, I don't know about other distros but its not a bad thing.
