Protocol mismatch, usually. Try "ssh -1" and "ssh -2". Also make sure that you have "Protocols 2,1" in /etc/ssh/sshd_conf but _not_ in /etc/ssh/ssh_conf If that doesn't help, run ssh with debug flags and post the log.
