Install another MTA in packaged form, or a dummy MTA package. If you're
using apt-get, it remove exim automatically. If not, you can always use
--auto-deconfigure to remove it temporarily until you get the other
installed.

A package which allows you to construct dummy packages. Install it and
read the manuals provided. It even comes with an example in
/usr/share/doc/equivs/examples/mail-transport-agent.ctl of exactly what
you need.

By the way, it's not apache which depends (directly) on a
mail-transport-agent. The log rotation utility it uses, logrotate,
depends on mailx, which depends on mail-transport-agent. The dependency
on mailx has been dropped to a recommendation in the development track
of Debian.
