Did you try to use yenta_socket for PCMCIA controller instead of i82365 ?
hint look in /etc/default/pcmcia

I try to load the module 8139too and it seem to works just
fine..but i can't bring up my interface, because it says that the resource
is busy....
Then try to load rtl8139 and it says that the card has no irq..
and when i do lspci it says that the card has no IO either...
