I've also ran into this problem.

I had nvidia-kernel-source up to date but "m-a" did not try to
actually rebuild the source when I chosed "build" in the menu.
It flickered a bit and after 0.5s said "ok ready". This was most
probably due to the fact that I had 
 nvidia-kernel-2.6.22-2-amd64_100.14.11-1_amd64.deb
laying around in /usr/src and it probably thought that this
was sufficiently recent for me. Once I removed that file it
actually build the module and now the apt-get upgrade works.
