time for some more troubleshooting.. there is both
kernel and grub updates available. kernel update is
same version though?

updated kernel (only) first...

Linux theta 2.6.8-1-386 #1 Mon Sep 13 23:29:55 EDT
2004 i686 GNU/Linux (this is after the 'upgrade')

upgrading the kernel overwrote the edits to
/boot/grub/menu.lst i had to make in order to boot the
system during install (first boot after base install,
before base-config). changing my references to hd(0,5)
back to hd(1,5), which leaves the system unbootable
(except for windows, which was not changed).

kernel upgrade did not modify the physical location
(partition or drive) of /boot, so why did it edit the
'root' lines in menu.lst?

fixed menu.lst and rebooted. then did the grub upgrade
(-8 to -9). all was well. menu.lst entries were not
changed by it.

i have a few other configurations and scenarios to try
when i have more time. will provide info on them then.
