this could be related to the problem I had with "initrd extends beyond end of memory". In my case the location of my two memory sticks (on an Ultra-5) was the source of the problem. Moving them from DIMM3/4 to DIMM1/2 made to issue with initrd (and thereby the kernel panic) go away.
